It should be used by any company or other organization with a corporate structure that requires a contract with an independent non-Exec director, who provides advice, balance and support. It is a service contract and, where possible, it makes it clear that the relationship between the director and the organization is more advice than employment. The appointment of a non-executive director can be documented either by this contract or by a letter of appointment from the company to the non-executive director.
