By accepting this AEC (through the Click Through Agreement or other means), you accept the terms of this AEC and all documents received by reference. Braintree Customer also agrees that this AEC is a legally binding contract between Braintree Customer and Wells Fargo. Before transmitting customer data to End Point, the distributor must enter into an agreement with this point of arrival, which ultimately requires that PCI-DSS data related to the processing, storage and use of customer data be fully complied with by the point of arrival; provided, however, that Merchant, before the distributors and an end point enter into such an agreement, conducts a due diligence audit on End Point and does not enter into an agreement with End Point or grant any other means of access to the customer`s data if the merchant knows or must know that such an in-arrival would pose a significant risk to the security or integrity of the customer`s data. The distributor agrees that PayPal may, at its sole discretion, contact the Final Point to verify PCI-DSS compliance and, if necessary, PayPal may require End Point to provide PayPal documents or enter into a customer data protection agreement. The distributor will notify PayPal immediately if it becomes aware that End Point (a) does not comply with PCI-DSS standards or (b) does not adequately protect customer data. This payment agreement from Braintree and the agreements it contains, Policies and documents (`agreement`) are entered into by and between PayPal, Inc., a Delaware company with an address of 2211 North First Street, San Jose, CA 95131 (“Braintree,” “PayPal,” “us” or “unser”) and the entity or person entering into the agreement (“Merchant” or “You”). This agreement sets out the conditions under which you can use braintree payment services. This Commercial Entity Agreement (CEA) is made available to Braintree customers who are business units (as defined by Visa and Mastercard) who open a reseller account and use braintrees services to (i) accept the payment card set out below by the Association (defined below) on their website. Any entity or person of this type that receives this AEC is referred to here as the Braintree client. In this AEC, “you” and/or “you” also refer to Braintree Customer. This AEC represents your separate legally binding contract between you as a trading company and (2) Wells Fargo Bank, N.A.
